Davis Community Network Board of Directors Meeting

May 18, 2010 at 5:15 p.m.

City Computer Lab, A Street, Davis, CA

1. Call to Order 5:17 p.m. by President Kimball Sargeant

2. The agenda was approved by consensus

3. Public comment: None

4. The minutes of the 4/20/10 regular board meeting were corrected and approved by consensus

5. Celebrate Davis! - debrief 

The DCN booth attracted attention with its social media theme. Concern about privacy was a common thread with visitors to the booth. Some photos have been uploaded to DCN's Picasa account. 

6. DCN Advisory Board - proposed bylaws change

Motion: Moved by Anne Hance, Seconded by Brian Gegan, approved by consensus.

To amend the DCN bylaws by adding a new Article VIII, pertaining to appointment of an Advisory Board, and renumber the remaining bylaw articles accordingly.

  VIII.     Advisory Board

  The Board of Directors may establish and appoint members to a DCN Advisory Board, consisting of three or more members, and will maintain an informal oversight of its functioning in cooperation with an Advisory Board Chair appointed to a one year term by the DCN president.  At least one of the members of the Advisory Board shall be a former member of the DCN Board of Directors. There shall be no defined term for Advisory Board members. Replacement or additional members shall be appointed as necessary by the Board of Directors. The Advisory Board may provide advice, guidance, support and advocacy for DCN.  Members may participate on a non-voting basis at Board meetings, strategic retreats and in other ways at the request of the DCN Board.  The Advisory Board may meet from time to time, with or without other DCN representatives.

Consensus: An information page outlining the charge of the new Advisory Board was approved with a few edits and is attached to these minutes.

7. City Council outreach

The DCN Exec Comm. has met with two City Council candidates, Sydney Vergis and Rochelle Swanson to acquaint them with DCN history, purposes and activities, and will soon meet also with candidate Joe Krovoza.

8. City of Davis Relationship with DCN

Now that the City of Davis Liaison to DCN has left Davis, Steve will draft a letter to the Davis City Manager introducing DCN.

9. Board recruitment report 

Brian discussed several contacts and potential meetings to assess interest in DCN Board membership.
